This Syndication and Licensing Agreement (“Agreement”) is made as of [Date] by and between:

1. Definitions

  • Licensed Works: All comics, articles, illustrations, stories, and other creative content produced under the brands GraceLit™, DareWing Comics™, Lisa LC Comics™, Lisa's Original Comics™, and the additional titles listed in Exhibit A.

  • Trademarks: The registered and unregistered trademarks and brand names listed in Exhibit A, including logos, trade dress, and service marks.

2. Grant of License

Licensor grants Licensee a non-exclusive, non-transferable, single-use license to publish the Licensed Works one time only in the media and territory described in Exhibit A:

  •  Print (e.g., newspapers, magazines, brochures)

  •  Digital (e.g., websites, e-books, apps)

  •  Broadcast (TV, radio, streaming)

3. Ownership and Trademark Rights

  • All copyright, title, and interest in the Licensed Works and all listed trademarks remain with Licensor indefinitely.

  • Licensee shall display required bylines and trademark attributions (e.g., “© [Year] Lisa Loucks-Christenson. All Rights Reserved. [Brand Name]™ is a trademark of Lisa Loucks-Christenson.”).

4. Usage and Restrictions

The Licensee may not:

  • Modify, adapt, alter, or create derivatives from the Licensed Works.

  • Sublicense, assign, sell, transfer, or syndicate the Works.

  • Use the Works beyond the one-time, authorized publication/context.

  • Remove or obscure credit, copyright, or trademark notices.

5. Archival Rights

  • Licensee may archive the Licensed Works only within the originally published context (print/digital) for reference/reader access.

  • No extraction, republication, resale, syndication, or commercial reuse without additional written authorization.

6. Fees and Payment

Licensee agrees to pay the fee specified in Exhibit B, due within [number] days of invoice.

7. Attribution

Licensee must include the full byline and trademark notation as instructed above and in Exhibit A.

8. Term and Termination

  • The restrictions and Licensor’s rights continue indefinitely.

  • Licensor may terminate immediately upon breach; Licensee must cease use and destroy non-archival copies.

9. Indemnification

Licensee will indemnify and hold harmless Licensor for breaches or unauthorized use.

10. Warranties

  • Licensor represents sole rights and authority to license all listed works.

  • Licensee warrants lawful, non-infringing use.

11. DMCA/Take-Downs

Licensee agrees to honor any take-down or removal requests for unapproved or infringing use.

12. Governing Law

Minnesota law applies to this Agreement; jurisdiction is exclusively Minnesota courts.

13. Entire Agreement/Amendments

This Agreement (plus Exhibits) is the full understanding. Changes must be in writing and signed by both parties.

Exhibit A – Licensed Works and Brand Titles

The following comics, series, and creative works owned by Lisa Loucks-Christenson are included in this Agreement:

  • Courtly Cottontails™ – Children’s wildlife comic series (26 books)

  • Toads of Telemark™ – Christian-themed comic series

  • Starlingo™ – Comic series

  • Hallowinks™ – Fantasy comic characters and stories

  • Hallowink Hollow™ – Comic series and brand (26 books expected by December 2025)

  • Redneck Woods™ – Comic series

  • Lady of Whitewater™ – Comic series

  • Don’t Eat Bees! Comic™ – Comic title

  • The Blue Code of Silence™ – Comic series

  • River Critters' Brigade™ – Comic/series title

Notes:

  • All trademarks (™) are the sole and exclusive property of the Licensor.

  • Brand names are listed with apostrophes only where grammatically required (e.g., River Critters' Brigade™).

  • Licensee must show trademark symbols and attribution.

  • Additional works are added by amendment to this Exhibit.
